Terms and Conditions

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY. BY AGREEING TO THESE TERMS AND CONDITIONS, YOU ACKNOWLEDGE THAT YOU HAVE READ AND YOU AGREE THAT THE FOLLOWING TERMS AND CONDITIONS GOVERN THE ERICSSON APPLICATION AWARDS 2011 (THE “CONTEST”). IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU WILL NOT BE PERMITTED TO PARTICIPATE IN THE CONTEST.

TAXES
THE AWARD MAY BE SUBJECT TO TAXES AT VARYING LEVELS DEPENDING ON THE WINNERS’ COUNTRY. IT IS THE WINNERS’ RESPONSIBILITY TO COMPLY WITH ALL TAX REQUIREMENTS. All costs associated with currency exchange are the sole responsibility of the winners.

CONDITIONS OF PARTICIPATION
The Contest consists of two (2) competition categories, the Student Category and the Company Category.
To be eligible to be part of a team participating in the Student Category – such person (“Student”) shall (i) be a student of higher vocational and academic studies; (ii) register himself for the Contest by completing and submitting a personal application form at www.ericssonapplicationawards.com; and (iii) be part of a team consisting of 2-4 Students.
To be eligible to participate in the Company Category – such company (“Company”) shall (i) be a so called small-medium company, which has no more than one hundred (100) employees world wide; (ii) be represented – in a team – by 2-4 employees which all shall register themselves to the Company’s team by completing and submitting a personal application form at www.ericssonapplicationawards.com.
A Student/Company may be prohibited/suspended from participating in the Contest if Ericsson, in it’s sole discretion, reasonably believes that such party has attempted to undermine the legitimate operation of the Contest by, inter alia, cheating, deception, or other unfair playing practices, providing false or misleading information, or annoys, abuses, threatens or harasses any other participants in the Contest, Ericsson or associated agencies, or if the Student/Company infringes any intellectual property right.
Each Student as well as each person representing a Company must have reached legal age of majority in the country in which he/she is residing. A Student/Company may not be resident in Puerto Rico, Quebec in Canada or in any other country where prohibited by applicable law. Ericsson reserves the right – at any time – to exclude countries if in Ericsson’s opinion there are or may be any kind of legal obstacles for participation, with the consequence that any team member residing in such country will be automatically suspended from the Contest.
Employees of any company within the Ericsson Group and/or their immediate family members are not entitled to participate in the Contest.

THE TEAMS
Each Company, shall no later than March 1, 2011, provide Ericsson with a signed version of the attached form in original, duly signed by authorized signatories of such Company. Should such signed version not be in the possession of Ericsson at the above date, such Company may be disqualified from the Contest.

PRIZE
Ericsson reserves the right to substitute a prize for an item of equal or greater value in the event all or part of a prize becomes unavailable. Prizes are awarded without warranty of any kind from Ericsson, express or implied, without limitation, except where this would be contrary to federal, state, provincial, or local laws or regulations. Return of any prize/prize notification may result in disqualification and selection of an alternate winner. Any potential winner who cannot be contacted within 15 days of attempted first notification will forfeit his/her prize/award.

INTELLECTUAL PROPERTY RIGHTS
Ericsson shall have the right to use, copy, modify and make available to the public the submitted application or code in connection with the operation, conduct, administration, and advertising and promotion of the contest via communication to the public, and in all types of marketing, beta-testing and demonstration activities. This also includes, but is not limited, to the right to make the submitted application available for trial purposes on similar terms as Ericsson makes its own Ericsson Lab enablers available and to make screenshots, animations and video clips available to the public for promotional and publicity purposes. The intellectual and industrial property rights to the contest submission, if any, will remain with the Students/Companies, except that these terms do not supersede any other assignment or grant of rights according to any other separate agreements between Students or Companies and other parties.

DATA PROTECTION
Each Student, as well as each person representing a Company, acknowledge and agree that in connection with the Contest personal data, including but not limited to name and address, may be collected from him/her. Each such person hereby acknowledge and consent to that Ericsson may process, store, display such personal data to the public and otherwise use it for the purposes and within the context of the Contest. Furthermore, such persons have a right to access and rectify any personal data held by Ericsson through contacting Ericsson at the email address below.

WARRANTY AND INDEMNITY
Each Company warrants that each employee representing the company in the Contest (by the employees’ registration of themselves to the Company’s team as stipulated above) are authorized to represent the Company in the Contest.
Each Student/Company warrants that the application submitted by his/her team is an original work and that they the sole and exclusive owner and right holder thereof, and that they have the right to submit the application in the Contest.
Each Student/Company agrees and undertakes not to submit any application that (i) infringes any 3rd party proprietary, intellectual property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligation; or (ii) otherwise violates applicable law in any countries in the world. To the maximum extent permitted by law, each Student/Company indemnifies and agrees to keep indemnified Ericsson, its parent, subsidiaries, agents, directors, officers, employees, representatives and assigns harmless at all times from and against any liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the participant and/or a breach of any warranty set forth herein.

NO LIABILITY FOR ERRORS ETC
Ericsson is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission. Ericsson is not responsible for theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind. Ericsson is not responsible for inaccurate transmissions of or failure to receive entry information by Ericsson on account of technical problems or traffic congestion on the Internet or at any Web site or any combination thereof. Ericsson is not responsible for any typographical or other error in the printing of the offer, administration of the contest or in the announcement of the prize.

GOVERNING LAW
To the extent permitted by law the rules, terms and conditions for the contest are governed by the laws of Sweden.

CONTRACTUAL DOCUMENTS
The participation in the Contest is governed by (i) these Ericsson Application Awards Terms and Conditions, (ii) the rules which can be found at www.ericssonapplicationawards.com, and (iii) in respect of a Company, the submitted application form.
In case of inconsistencies, the documents will prevail in accordance with the above order, unless an explicit reference has been made in the subordinated document to the effect that a specific provision shall prevail notwithstanding certain provisions in the superior document.
